1. Acceptance and Priority
These online Terms govern a Merchant’s use of SufraPay, a technology solution developed, owned, operated and powered by AssureCharter (شركة ميثاق الضمان لتطوير الأنظمة البرمجية ذ.م.م). They must be read with the SufraPay Privacy Policy and any signed commercial agreement with SufraPay (the “Merchant Agreement”). These Terms and the Merchant Agreement are read together; where they conflict on commission, fees, term, exclusivity or other financial obligations, the signed Merchant Agreement prevails, and these Terms prevail on other matters.
2. Eligibility, KYC and Updates
The Merchant confirms that it is legally established, appropriately licensed and authorized. It must provide and keep accurate registration, tax, licence, ownership, signatory, bank, IBAN and KYC information and permit required verification by SufraPay, Payment Providers, banks and authorities.
3. Access, Devices and Security
The Merchant is responsible for authorized users, credentials, devices, tablets, QR codes, NFC tags and activity under its access. It must prevent tampering and unauthorized access and promptly report suspected compromise, loss or misuse.
4. Menu and Restaurant Responsibilities
The Merchant is solely responsible for menu descriptions, ingredients, allergens, availability, prices, taxes, charges, discounts, legal disclosures, food safety, quality, service and consumer remedies. Information must be accurate and current.
5. Orders and Fulfilment
The Merchant must monitor, verify, accept or reject and accurately fulfil orders, including checking orders before POS entry or preparation, and must address delays, substitutions, complaints and direct allergy enquiries.
6. Payments, Settlement and Fees
Payments are processed by a licensed Payment Provider. SufraPay does not hold payment credentials. Settlement timing, reserves, reversals, chargebacks, refunds and deductions are governed by the commercial agreement and provider rules. Subscription, transaction, setup, device and other fees are stated in the signed agreement or order form. After the Merchant’s first contractual year with SufraPay, a monthly subscription fee applies in addition to the transaction commission, on the terms and with the notice set out in the Merchant Agreement. Invoicing frequency, payment deadlines, and the consequences of late or non-payment, including suspension and termination, are also set out in the Merchant Agreement.
6A. Exclusivity
During the term of the Merchant Agreement and any renewal, the Merchant must not engage, directly or indirectly, any other provider of a substantially similar in-restaurant QR/NFC ordering-and-payment service. This restriction does not apply to delivery platforms or to the Merchant’s existing point-of-sale system and card payment terminals used in the ordinary course, unless used to provide a substantially similar service. The exclusivity period, and any compensation payable for a breach, are set out in the Merchant Agreement.
7. Refunds, Disputes and Chargebacks
The Merchant is responsible for refunds, cancellations, product and service complaints, consumer remedies and chargebacks attributable to its goods, services or conduct, subject to applicable law and Payment Provider procedures.
8. Data Protection and Confidentiality
The Merchant must follow the SufraPay Privacy Policy and applicable data-protection law, protect credentials and Guest information, provide required notices and permissions, use Guest data only for fulfilment, support, legal compliance and consented marketing, and promptly report data incidents.
9. Acceptable Use and Compliance
The Merchant must comply with consumer, food-safety, tax, advertising, privacy, cybersecurity and payment rules and must not offer prohibited goods, manipulate transactions, impose unlawful charges, misuse data, interfere with SufraPay or infringe third-party rights.
9A. SufraPay Assets and Personal Guarantee
Tablets, stands, QR codes, NFC tags and other equipment or promotional materials provided by SufraPay remain SufraPay’s property at all times and must be returned in good condition on request or on termination of the Merchant Agreement, as further detailed in the Merchant Agreement and the related handover record. As a condition of onboarding, the Merchant’s authorized signatory may be required to provide a personal guarantee of the Merchant’s financial obligations to SufraPay, on the terms set out in the Merchant Agreement.
10. Availability, Suspension and Termination
SufraPay may be unavailable because of maintenance, connectivity, devices, banks or third parties. AssureCharter may suspend or terminate access for non-payment, KYC failure, security risk, suspected fraud, unlawful activity, provider or authority instruction, or material breach. Notice periods, any grace period for late payment, and the process for suspension and termination are set out in the Merchant Agreement.
11. Intellectual Property, Liability, Law and Contact
SufraPay software, design, databases, documentation and branding remain owned by or licensed to AssureCharter. To the maximum extent permitted by law, SufraPay is not liable for food, allergens, fulfilment, Merchant conduct, Payment Provider decisions, bank delay, connectivity failure or indirect loss. Jordanian law applies and the competent courts of Amman have jurisdiction, unless a signed agreement validly provides otherwise. Contact: info@sufrapay.net.
